Each individual giveaway will be announced via a post on one or more social media platforms via a Zynga Inc. (“Sponsor”) social account (“Giveaway Posting”). A Giveaway Posting will include how to enter, the entry deadline (if applicable), the method of determining the winner (e.g., random drawing), the applicable game (the “Game”), the prize(s) and, where applicable, prize value(s).  All information contained in a Giveaway Posting is incorporated herein by reference.

ELIGBILITY: OPEN TO INDIVIDUALS WHO ARE: (I) AT LEAST 18 YEARS OLD AND HAVE ATTAINED THE AGE OF MAJORITY IN THEIR STATE, COUNTRY AND/OR PROVINCE OF RESIDENCE; AND (II) NOT LOCATED OR RESIDENT IN AN EXCLUDED TERRITORY. THE PRIZE PROMOTION IS NOT AVAILABLE IN ANY TERRITORY OR JURISDICTION WHERE: (I) THE GAME IS NOT AVAILABLE; AND/OR (II) ENTRY INTO, OR THE OFFERING OF, THE GIVEAWAY IS PROHIBITED, TAXED OR OTHERWISE RESTRICTED BY LAW OR PUBLIC POLICY, OR WHERE REGISTRATION, FILING OR NOTICE REQUIREMENTS EXIST (EACH, AN “EXCLUDED TERRITORY”). Employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of Sponsor, its parent, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these “Official Rules” and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this giveaway. Giveaways are subject to all applicable federal, state and local laws and regulations. 

TO ENTER: To enter, follow the directions provided in the Giveaway Posting. All entries must be received by the date and time stated in the Giveaway Posting to be eligible. By entering, you confirm that you are eligible to enter and meet the entry requirements. Entries received from any person/e-mail address/social media account in excess of the stated limitation will be void. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. All entries become the property of Sponsor and will not be acknowledged or returned. 

WINNER DETERMINATION: A random drawing will be held on or about the day following the final entry date set forth in the Giveaway Posting from all eligible entries received. Odds of winning depend on the number of eligible entries received. Potential winner(s) will be notified by direct message, @reply, comment and/or e-mail and may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within seven (7) days of date of issuance (the “Winner Notification”). If such documents are not returned within the specified time period, prize notification is returned as undeliverable, a potential winner rejects their prize or a potential winner is not in compliance with these rules or is ineligible, prize will be forfeited and, at Sponsor’s discretion, an alternate winner selected. If a Canadian resident, the potential winner will also be required to correctly answer a time-limited, skill-testing question without any assistance in order to be eligible to receive a prize. Failure to answer the question correctly will result in the prize being forfeited.

PRIZE(S): The prize(s) and, if applicable, their approximate retail value(s) will be set forth in the Giveaway Posting. For the avoidance of doubt, any prizes that are in-game virtual goods or in-game virtual currencies: (i) have no monetary value; (ii) must not be used outside of the Game; and (iii) must only be used in accordance with Sponsor’s Terms of Service, located at www.take2games.com/legal. To the maximum extent permitted by law, prizes are awarded “as is” with no warranty or guarantee, either express or implied. Prizes may not be substituted, assigned or transferred or redeemed for cash, however Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per household.

PUBLICITY GRANT: Each winner, by acceptance of the prize, except where legally prohibited, grants permission for Sponsor and its designees to use their name, social media handle, address (city and state), photograph (including, without limitation, profile photo), voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval, except where prohibited by law. 

GENERAL CONDITIONS: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries, posts, comments, messages, email, or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), platform, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the giveaway, including, without limitation, errors or difficulties which may occur in connection with the administration of the giveaway, the processing of entries, the announcement of the prize(s) or in any giveaway-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the giveaway. Released Parties are not responsible for injury or damage to participants' or to any other person's computer or other device related to or resulting from participating in this giveaway. Persons who tamper with or abuse any aspect of the giveaway or platform or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Sponsor reserves the right at its sole discretion to suspend, modify or terminate the giveaway at any time and for any reason, including, but not limited to, should any portion of the giveaway be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, and, if terminated, at its discretion, select the potential winner(s) from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Entrants, by participating, agree that Sponsor, Meta Platforms (dba Facebook and Instagram), X, TikTok, Inc., and their respective parent, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this giveaway. In the event of a dispute regarding entries received from multiple users having the same e-mail or social media account, the authorized subscriber of the e-mail account or social media account at the time of entry will be deemed to be the entrant and must comply with these rules. Authorized account subscriber of the e-mail account is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. Authorized account subscriber of the social media account is the natural person who is assigned the social media account by the applicable platform. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the limitations or exclusions set out in these Official Rules may not apply to all entrants, or shall only apply to the maximum extent permitted by applicable law. In the event that any such limitations or exclusions of liability are not enforceable under applicable law, the affected limitation or exclusion of liability shall be deemed omitted from these Official Rules and shall in no way affect the legality, validity or enforceability of the remainder of these Official Rules.

DISPUTES; GOVERNING LAW: SUBJECT TO THE ENFORCEMENT OF THE MANDATORY PROVISIONS OF ANY OTHER APPLICABLE LAW, THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES

Entrants resident in the United States of America hereby waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Giveaway and hereby agree that. any controversy or claim arising out of or relating to these Official Rules and/or a giveaway shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York.. 
For entrants who are not resident in the United States of America and/or for any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or a giveaway, except where prohibited by law, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of New York in the State of New York.  The parties agree not to raise the defense of forum non conveniens.

USE OF DATA. Any personal data submitted to, or collected by, Sponsor or its data processors in connection with the Giveaway, processed by Sponsor and/or its data processors in accordance with Sponsor’s privacy policy for the purposes of conducting, administering, and marketing the giveaway. Please review the Sponsor’s privacy policy at www.take2games.com/privacy.  By participating, you hereby acknowledge : (i) you have read and understood Sponsor’s privacy policy; (ii) Sponsor has a valid legitimate interest in processing your personal data for these purposes; and (iii) Sponsor’s legitimate interests are not outweighed by your own interests or fundamental rights and freedoms. 

WINNERS’ LIST: The winners list for a specific giveaway will be announced via the same platform as the Giveaway Posting.
